Terms of Service

01. Acceptance of Terms

By accessing or using the SME DealFlow platform, website, or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services.

These Terms apply to all visitors, members, and Hosts who access the Services, including those who subscribe to our $2/month membership.

02. Nature of the Platform

SME DealFlow Inc. is a community business-networking and deal-sourcing platform. We are not a broker-dealer, investment adviser, or law firm, and we do not provide investment, legal, or tax advice.

Nothing on the Services constitutes an offer to sell or a solicitation of an offer to buy any security. Any investment or capital-raising opportunities referenced are private, limited to verified accredited investors, and facilitated solely through appropriately licensed partners.

03. Membership & Eligibility

• You must be at least 18 years old and able to form a legally binding contract to use the Services.
• Membership is billed at $2/month or $24/year and grants access to Hubs, Hosts, events, and curated opportunities.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Memberships renew automatically and may be cancelled at any time, effective at the end of the current billing period.

04. Hosts & Hubs

Hub hosting is offered subject to application and a separate Host agreement. Host earnings depend on individual results and are not guaranteed.

Hosts are independent operators and are not employees, agents, or representatives of SME DealFlow Inc.

05. Acceptable Use

• Do not use the Services for any unlawful, fraudulent, or harmful purpose.
• Do not misrepresent your identity, credentials, or accreditation status.
• Do not scrape, copy, or redistribute member or deal data without authorization.
• Do not solicit members for securities outside of the licensed partners facilitating a given opportunity.

06. Intellectual Property

All content, trademarks, and software associated with the Services are the property of SME DealFlow Inc. or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for their intended purpose.

07. Disclaimers & Limitation of Liability

The Services are provided “as is” without warranties of any kind. To the maximum extent permitted by law, SME DealFlow Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services or participation in any opportunity referenced on the platform.

08. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
